Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the buildOne platform, including buildone.ph, the buildOne community, the buildOne marketplace, and the ToolBox mobile application (together, the "Platform").

The Platform is operated by BuildOne Builders Solution and Interactive Corp. ("buildOne", "we", "us", or "our"), a corporation registered with the Securities and Exchange Commission of the Philippines under SEC Registration No. 2026030241025-01, with principal office at 445 Velasquez St., Sitio Bangiad, Brgy. San Juan, Taytay, Rizal 1920, Philippines.

By creating an account, placing an order, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. Who May Use the Platform

• You must be at least eighteen (18) years old and legally able to enter into contracts.
• If you use the Platform for a company, you confirm you are authorised to bind that company, and "you" includes that company.
• Accounts are personal. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us immediately at support@buildone.ph if you suspect unauthorised use.
• Information you give us — including profile, credential, and business details — must be true, current, and complete.

2. What buildOne Does

The Platform provides:

• A professional community where architects, engineers, contractors, and other construction professionals publish verified profiles and connect with clients;
• A marketplace where merchants and distributors list construction materials, tools, and equipment for purchase; and
• Business tools — including project, inventory, and order management — some of which require a paid subscription.

For marketplace transactions, buildOne acts as the platform operator facilitating the sale between you and the seller. Unless a listing states that buildOne is the seller of record, the contract of sale for the goods is between the buyer and that seller, and the seller is responsible for the goods, their description, and their fitness for purpose. We remain responsible for operating the Platform and for the obligations we take on in these Terms and in our Return and Refund Policy.

3. Verification

We may verify professional licences (including PRC credentials), government-issued identification, and business registration documents. Verification badges reflect the documents submitted at the time of review. We may suspend or revoke verification if information is false, expired, or can no longer be confirmed. Verification is not a guarantee of the quality, safety, or legality of any person's work.

4. Orders, Pricing, and Payment

• All prices are shown in Philippine Pesos (PHP) and, unless stated otherwise, are inclusive of applicable taxes. Delivery fees are shown before you confirm an order.
• Placing an order is an offer to buy. A contract is formed only when we or the seller confirm the order. We may decline or cancel an order — with a full refund — where the item is out of stock, incorrectly priced, or where we suspect fraud.
• Pricing errors. Where a price is obviously wrong, we will contact you before dispatch and you may confirm at the corrected price or cancel for a full refund.
• Payment methods. We accept Visa and Mastercard credit and debit cards, e-wallets, and online banking, as offered at checkout.
• Payment processing. Card and e-wallet payments are processed by PayMongo Philippines, Inc., a BSP-regulated payment service provider. Your payment is subject to PayMongo's terms in addition to these Terms. We do not collect or store your full card number, expiry date, or CVV.
• Descriptor. Charges appear on your card statement under a buildOne descriptor. If you do not recognise a charge, contact support@buildone.ph before filing a dispute.
• Authorisation. By submitting a payment you confirm you are the cardholder or are authorised to use the payment method.

5. Premium Subscriptions

• buildOne Premium unlocks the project management workspace and other premium features. It is billed in advance at ₱99.00 per month or ₱999.00 per year.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period, using your saved payment method, until you cancel.
• Cancellation. You may cancel at any time from Settings → Subscription. Cancellation takes effect at the end of the paid period; you keep access until then and are not billed again.
• Refunds. Subscription refunds are governed by our Return and Refund Policy.
• Failed payments. If a renewal payment fails, we may retry it and may suspend Premium access until payment succeeds.

6. Delivery

• Delivery timeframes shown at checkout are estimates. Construction materials may ship on separate schedules depending on the seller, volume, and destination.
• You must provide a complete, accurate delivery address and ensure someone is available to receive and inspect the goods. Re-delivery caused by an incorrect address or an unavailable recipient may incur an additional fee.
• Please inspect deliveries on arrival and report shortages or visible damage within 7 calendar days, as set out in our Return and Refund Policy.
• Risk of loss passes to you on delivery to the address you provided.

7. Returns, Refunds, and Disputes

Returns and refunds are governed by our Return and Refund Policy. Complaints, appeals, and payment disputes are handled under our Dispute Resolution Policy. Both policies form part of these Terms.

8. Your Content and Conduct

You retain ownership of the content you post. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, and distribute that content for the purpose of operating and promoting the Platform. You agree not to:

• Post false, misleading, defamatory, obscene, or unlawful content;
• Misrepresent your identity, licences, credentials, or business registration;
• List prohibited, counterfeit, stolen, or unsafe goods, or goods you cannot lawfully sell;
• Infringe another party's intellectual property or privacy rights;
• Harass, threaten, spam, or defraud other users;
• Take transactions off-platform to avoid fees, or use the Platform for money laundering or any other unlawful purpose; or
• Scrape, reverse engineer, overload, or attempt to gain unauthorised access to the Platform.

We may remove content, restrict features, or suspend or terminate accounts that breach these Terms or applicable law. Where practicable we give notice and a chance to appeal under our Dispute Resolution Policy.

9. Intellectual Property

The Platform, including its software, design, text, graphics, and the buildOne name and logo, is owned by BuildOne Builders Solution and Interactive Corp. or its licensors and is protected by Philippine and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from it without our written consent.

10. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms and complies with the Data Privacy Act of 2012 (Republic Act No. 10173).

11. Availability and Changes

We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features, and may update these Terms. Material changes will be posted here with a revised "Last updated" date and, where the change significantly affects your rights, notified by email or in-app notice. Continued use after the effective date means you accept the revised Terms.

12. Disclaimers

Except as expressly stated in these Terms and as required by law, the Platform is provided "as is". We do not warrant the accuracy of user-generated content, listings, or profiles, and we do not endorse any professional, contractor, or seller. Engaging a professional or purchasing goods is your decision, and you should carry out your own checks. Nothing in this section excludes liability that cannot be excluded under Philippine law, including under the Consumer Act (Republic Act No. 7394).

13. Limitation of Liability

To the maximum extent permitted by law, buildOne is not liable for indirect, incidental, special, or consequential loss, including lost profits, project delays, or loss of data. Our total aggregate liability arising from a transaction is limited to the amount you paid for that transaction. These limits do not apply to death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be limited.

14. Indemnity

You agree to indemnify and hold harmless BuildOne Builders Solution and Interactive Corp., its directors, officers, and employees from claims and expenses arising out of your breach of these Terms, your content, or your unlawful use of the Platform.

15. Termination

You may close your account at any time. We may suspend or terminate your account for breach of these Terms, for legal reasons, or where required by a regulator. Termination does not affect orders already placed, payments due, or rights that accrued before it took effect.

16. Governing Law and Venue

These Terms are governed by the laws of the Republic of the Philippines. Before commencing formal proceedings, you agree to attempt in good faith to resolve the dispute with us within 30 calendar days under our Dispute Resolution Policy. Subject to mandatory venue rules protecting consumers, disputes shall be brought before the proper courts of Rizal, Philippines.

17. Severability and Entire Agreement

If any provision of these Terms is held invalid, the remaining provisions continue in force. These Terms, together with the Privacy Policy, Return and Refund Policy, and Dispute Resolution Policy, form the entire agreement between you and us regarding the Platform.
